Company Goals

In creating IDS Technologies, Inc. we began with some fairly simple goals in mind.

Although these goals are fairly simple, they do take some work. We think the results are worth the effort because of the favorable impact on our clients, suppliers and other people with whom we have contact.

Location

We are headquartered in Greensboro, North Carolina, and are located in close proximity to two major international airports, major trucking hubs as well as UPS and Federal Express terminals. This results in a variety of economical and efficient shipping methods to ensure prompt delivery.

Products

We are your single point of contact for new Lucent ISDN Customer Premise Equipment. Our substantial inventory reflects the latest new Lucent ISDN products as well as older Lucent/AT&T product lines that are no longer in production. If a need does exceed our own inventories, we have solid supply channels in place which enable us to procure the needed product and respond in a timely manner so that you look good to your customer. How about quality?

All new Lucent ISDN Customer Premise Equipment received by IDS Technologies is inspected for external damage to cartons and any other obvious discrepancies.

Every piece of equipment that enters our system is scanned and tracked by our custom inventory management program. This ensures accurate warranty handling, should it become necessary, and provides detailed records of product receipts and shipments.

Quality doesn't just apply to equipment. The quality of service you receive from us, our attention to detail, and our knowing our business will be a pleasant experience. We are also flexible and can adapt to your needs because our systems are sophisticated just enough to be simple.

Terms and Conditions of Sale

Payment Terms  -  All first time orders or new accounts (unless other arrangements have been approved) will be transacted:

An open account may be arranged by submitting an application for credit stating amount requested, trade referrences and bank information. Terms of payment for open accounts are net 30 days from date of invoice. Delinquent invoices or portions thereof are subject to an interest charge of 2% per month (or the maximum rate allowable by applicable law), until the amount is paid in full. Overdue and delinquent account balances are subject to being placed for collection and Buyer shall pay all expenses incurred, including collections fees, court costs and reasonable attorney's fees.

Credit Cards - You have the convenience of using Credit Cards for purchases. We accept any domestic VISA or MasterCard including Government or Corporate purchasing cards.

COD Company Check - To qualify for COD Company Check, send a completed and signed Credit Application listing your bank where you have your current business checking account.

Cash-In-Advance - To qualify for this payment method we require only a bank reference. There is no credit check for payment by Cashier's Ceck or Wire Transfer.

Returned Material  -  In the event of Buyer ordering error, "change of mind," or inability of local telephone service provider to properly provision the circuit, material may be returned for credit towards purchases of other material offered by IDS Technologies, less a twenty percent (20%) handling charge for restocking. No credit will be issued for return of goods older than sixty (60) days from date of shipment or for products not returned as originally shipped by IDS Technologies including all documents and accessories. Approval for all returns must be given by IDS Technologies.

Shipping Policy

IDS Technologies, Inc. will ship according to customer instruction. Shipping charges, including insurance and any additional services will be included on the invoice. Our shippers of choice are Federal Express and United Parcel Service, but others will be utilized if preferred by the customer.

Discrepancy/Failed Delivery Claims   -  Products are shipped FOB IDS Technologies's dock and risk of loss due to damage, shortage or non-delivery due to carrier fault lies with the Buyer. All claims for damage or shortages should be filed by Buyer with the carrier handling the shipment. Claims stemming from discrepancies between invoiced descriptions or quantities and actual product received by Buyer due to error by IDS Technologies must be made in writing within sixty (60) days of invoice date. Any such claims not presented within that time limit will be waived and actual delivery of invoiced descriptions and quantities shall be conclusively presumed.

We highly recommend purchasing insurance and will include this as a default unless otherwise specified by the customer. Freight insurance is inexpensive compared to total loss. This includes all items mailed via US Postoffice as well. All important documents or items should be sent registered mail or other secured methods. IDS Technologies will not be held responsible for items sent or returned via unregistered postal service or other non-secured or uninsured methods.

Warranty Policy

For new Lucent ISDN/Analog Centrex Customer Premise Equipment the following warranty will apply unless a manufacturer’s (Lucent) limited warranty accompanies the Product.

IDS warrants to the customer, that:

Upon shipment to the customer, Products designed by Lucent or purchased by it pursuant to Lucent procurement specifications will be free from defects in material and workmanship, and will conform to Lucent specifications;

With respect to Products not covered in (1), IDS, to the extent permitted, does hereby assing to the customer the warranties given to IDS by Lucent or Lucent's vendor of such Products.

The term "Warranty Period" mean the period of time listed in this paragraph, which, for Products covered in the paragraphs above and Software, unless otherwise stated in writing, commences on the date of shipment of the Product or Software from IDS, or, in the case of drop shipments, from the lucent warehouse facility to the customer. the normal warranty period for new Lucent ISDN/Centrex CPE Products is one (1) year. Refurbished products sold by IDS have a one (1) year warranty as well.

The warranty is invalid if the Product is misused or subjected to electrical current damage or acts of God. If, under normal and proper use during the applicable warranty period, a defect or non-conformity appears in a Product covered in the paragraphs above and the customer notifies IDS in writing of such defect or non-conformance within the warranty peeriod and follows IDS's instructions regarding return of defective or non-conforming material, the warranty procedure will be handled as follows:

1. Out-of-box failures may be replaced with new Product, if available and if IDS receives notification within thirty (30) days of shipment. The Out-of-box failure must not be used and it must be returned in its original individual packaging complete with all parts, compenents and manuals. Out-of-box warranties are covered for the first thirty (3) days since shipment and cover only equipment taken out of the box and found to be defective. It does not cover items installed and used. Warranties beyond out-of-box are handled as repair and return. Failure to compy with this policy may result in additional billing. When advance replacements are sent, the defective item(s) must be returned within ten (10) days or additional billing will be issued.

2. As to Products beyond out-of-box status, IDS will attempt to repair or replace such Product at IDS's facility. items beyond IDS repair will be returned to Lucent or other vendor for disposition. If repair or replacement is not feasible, IDS will provide a refund or credit, at IDS discretion, equal to the amount of the original purchase price.

Products returned for repair or replacement will be accepted by IDS only in accordance with its instructions and procedures for such returns. The cost of transportation associated with returning such Product to IDS shall be borne by the customer. IDS shall pay the costs of transportation of the repaired or replaced Product to the destination designated by the customer (within the coterminous forty-eight United States and a mutually agreed upon point of exit for shipments to Alaska and Hawaii). If IDS determines that a returned product is not defective, the customer shall pay IDS all costs of handling, inspecting, testing and transportation. Replaced Products or parts shall become IDS property.

IDS makes no warranty with respect to defective conditions or non-conformities caused by any conditions outside normal use, including but not limited to misuse, neglect, accident or abuse by anyone other than IDS or its subcontractors, improper wiring, repairing, alteration, installation, storage or maintenance by anyone other than IDS or its subcontractors; use in a manner not in accordance with specifications, operating instructions or license to use; failure of Adelphia or its customer to apply previously applicable manufacturer modifications and corrections.

THE FOREGOING WARRANTIES ARE EXCLUSIVE AND ARE IN LIEU OF ALL OTHER EXPRESS AND IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE CUSTOMER'S SOLE AND EXCLUSIVE REMEDY SHALL BE IDS’S OBLIGATION TO REPAIR, REPLACE, CREDIT OR REFUND AS SET FORTH ABOVE IN THIS WARRANTY.
